Responsibilities:
The Responsibilities of the Head Legalincludes:
-Provide legal advice and assurance:
To provide legal advice and assurance on all aspects of Corporate law matters in order to support strategic plans, new business initiatives, strategic decisions on new ventures & asset acquisitions/sell off, JVs, M&As both domestic and outbound etc.
-Drafting, vetting, negotiations and finalization of various legal and key commercial contracts/agreements/MoUs for existing corporate restructuring/expansion/diversification strategic managerial decisions and potential business transactions.
-Advise on legal issues arising from all M&A /restructuring/corporate work around the Group, including the issuing of securities, banking transactions; asset acquisitions/demergers, substantial undertaking disposals, treasury arrangements, investment of funds, inter-corporate loans and investments, the granting of guarantees and security and key loan documentations.
-To work closely with key contacts, as well as companies within the Group, on legal implications and risks involved with potential transactions such as mergers, demergers, acquisitions, joint ventures, corporate restructuring, shareholders agreements and business transfer arrangements and corporate contracts and related documentation.
-Expert knowledge on corporate laws, including but not limited to including but not limited to Companies Act, FEMA, FCRA, and laws/ regulations related to FDI, RBI, SEBI, Competition Law regulations to advise on corporate restructuring strategies.
-To brief and work with senior Counsel, advisors and law firms on key corporate legal matters of the Group.
